DRAFT FOR REVIEW. Prepared without legal counsel. Sound as a starting point, but have a lawyer read Sections 3, 8, 12 and 13 before you take money from consumers in the EU or India. Fill everything in [BRACKETS].
1. Who we are
Abhidu ("Abhidu", "the Service", "we", "us", "our") is operated by Bunderbrains Private Limited, a company incorporated in India.
Contact: support@abhidu.com · Privacy and legal: legal@abhidu.com · Grievances: nodal@abhidu.com
2. Acceptance
By accessing or using Abhidu, you agree to these Terms of Service ("Terms"), to our Privacy Policy and to our Acceptable Use Policy, each incorporated here by reference. If you do not agree, do not use the Service.
If you use Abhidu on behalf of an organisation, you confirm you have authority to bind it, and "you" means you and that organisation.
3. What Abhidu is, and what it is not
(a) What it does. Abhidu saves and organises material you send it, keeps your tasks, reminders and lists, and returns them when you ask. It works with links, messages and images you provide.
(b) What it does not do. Abhidu does not generate content from nothing, does not search the internet, and does not create information you did not give it. It works only with material you have supplied.
(c) AI output can be wrong. Abhidu uses artificial intelligence, including third-party models. It may organise, retrieve, categorise or present your material incorrectly or incompletely, may fail to read a link or image, and may return partial results. Do not rely on Abhidu as your only record of anything that matters. Keep your own copies of anything you cannot afford to lose.
(d) Not professional advice. Abhidu does not give legal, medical, financial, tax, academic or professional advice. Decisions you take based on what it shows you are yours.
(e) Availability. We aim to keep Abhidu running but do not promise uninterrupted or error-free service. Features may change, and the Service may be unavailable for maintenance, upgrades or reasons outside our control.
(f) Your statutory rights. Nothing in this section removes rights you have under consumer protection law that cannot be excluded by agreement.
4. Eligibility and accounts
(a) Minimum age: 18. You must be 18 or older to use Abhidu. When you register you must provide your date of birth, and we will refuse registration to anyone whose stated date of birth indicates they are under 18. Abhidu is not designed for or directed at children.
(b) If we discover an under-18 user. Where we are told, or come to believe, that an account belongs to someone under 18, we will investigate and will close the account and delete the associated data. Reports can be sent to legal@abhidu.com.
(c) Accurate information. You must give accurate registration information and keep it current. Providing a false date of birth is a breach of these Terms.
(d) Account security. You are responsible for activity under your account and for the security of the phone number, device and credentials used with it. Tell us at support@abhidu.com if you believe your account has been compromised.
(e) One account. Do not create multiple accounts to evade limits, suspensions or eligibility rules.
5. Your content
(a) You own it. You keep all rights you already hold in the links, messages, notes, tasks, images and other material you send to Abhidu ("Your Content"). We claim no ownership.
(b) Licence to us. You grant Bunderbrains Private Limited a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, analyse, index, reformat and display Your Content in order to: operate and provide the Service to you; maintain, secure, debug and improve it; and develop, train, test and improve our models, systems and features — in each case as described in our Privacy Policy and subject to the safeguards set out there.
The licence ends when Your Content is deleted, except that (i) de-identified, aggregated or derived data that can no longer reasonably be linked to you may be kept and used indefinitely, and (ii) copies in backups persist until routinely overwritten, and copies required by law persist until that requirement ends.
(c) Your responsibilities. You confirm you have the rights needed to send us Your Content and that doing so infringes nobody's intellectual property, privacy or confidentiality. Do not send material you are not permitted to share — employer confidential information, client data held in confidence, other people's personal data — unless you are certain you may.
(d) Third-party links. Abhidu stores links you send along with metadata from them. We are not responsible for the content, availability or accuracy of third-party pages, and saving a link gives you no rights in what it points to.
6. Acceptable use
Your use of Abhidu is governed by our Acceptable Use Policy, which forms part of these Terms. Breaching it breaches these Terms.
7. Messaging channels and third parties
Abhidu is available through WhatsApp and through our web and mobile applications, and may become available through other channels.
Where you use Abhidu through WhatsApp or any other third-party platform, that platform's own terms and privacy policy also apply. We do not control those platforms and cannot guarantee message delivery or availability across them. Carrier and data charges are yours.
The Service depends on third-party infrastructure and AI providers; their changes, outages and failures affect ours.
8. Plans, payment and changes
(a) Free and paid plans. Abhidu offers a free plan and one or more paid plans. What each includes is described at [PRICING PAGE URL] and forms part of these Terms.
(b) Free plans are discretionary. Free access confers no right to continued free use, to any particular feature, or to any level of capacity.
(c) We may change plans, prices, limits and eligibility. We may introduce paid plans; set and change prices, currencies, billing cycles and payment terms; introduce, change or remove usage, storage, feature and rate limits; move features between plans; and change eligibility criteria for any plan, discount or tier, including student, community or early-access pricing.
(d) Notice of changes affecting you. We will give at least 30 days notice by email or in the Service before: increasing the price of a paid plan you hold; materially reducing what your plan includes; or moving a feature you currently use for free into a paid plan. You may cancel before the change takes effect. Changes that do not disadvantage existing users may take effect immediately.
(e) Billing. Paid plans are billed in advance for the period you select and renew automatically unless cancelled before the renewal date. Prices are exclusive of taxes unless stated; you are responsible for applicable taxes. Payments are processed by [PAYMENT PROCESSOR], whose terms apply to the transaction.
(f) Cancellation. You may cancel at any time from your account settings or by emailing support@abhidu.com. Cancellation stops future renewals; access continues to the end of the period you have paid for.
(g) Refunds. Except where required by law, fees are non-refundable and we do not refund partial periods. This does not affect: (i) your right, if you are a consumer in the EU or UK, to withdraw from a purchase within 14 days, which you may lose once you request immediate access to digital content and acknowledge that loss at checkout; or (ii) any refund right you have under the Consumer Protection Act, 2019 or other applicable consumer law.
(h) Non-payment. We may suspend or downgrade paid features if payment fails and is not resolved after reasonable notice.
9. Our intellectual property
The Service — its software, models, designs, interfaces, characters (including Seeker, Librarian and Officer), names, logos and brand assets — belongs to Bunderbrains Private Limited or its licensors. These Terms give you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal or internal business purposes, and nothing more.
10. Feedback
If you send us feedback, suggestions, bug reports or ideas, you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose, without obligation, attribution or payment.
11. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available".
We disclaim all warranties, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that Your Content will always be preserved or retrievable.
This section does not apply to the extent the law does not allow it. If you are a consumer, you keep all statutory guarantees and rights that cannot be excluded, and nothing here limits them.
12. Limitation of liability
To the fullest extent permitted by law:
(a) We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, opportunity, anticipated savings, or loss or corruption of data, however arising.
(b) Our total aggregate liability for all claims arising out of or relating to the Service and these Terms will not exceed the greater of (i) the total amount you paid us in the twelve months before the event giving rise to the claim, or (ii) INR 1,000.
(c) These limits apply regardless of the legal theory relied on and survive the failure of any limited remedy.
(d) Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, gross negligence, or wilful misconduct — or any liability to consumers that applicable law does not permit us to limit. If you are a consumer, the caps in (a) and (b) apply only so far as the law allows.
13. Indemnity
You will indemnify and hold harmless Bunderbrains Private Limited, its directors, officers, employees and agents against claims, liabilities, damages, losses and reasonable legal costs arising from: (a) Your Content; (b) your use of the Service; (c) your breach of these Terms, the Acceptable Use Policy or any law; or (d) your infringement of a third party's rights.
If you are a consumer, this applies only to the extent your act or omission caused the claim, and only where the law permits.
14. Suspension and termination
(a) You may stop using Abhidu at any time and may request deletion of your account and data as described in the Privacy Policy.
(b) We may suspend or terminate your access where you breach these Terms or the Acceptable Use Policy, where required by law, where necessary to protect the Service or another person, or where we discontinue the Service. Except where a breach is serious or urgent, we will give notice and, where appropriate, an opportunity to fix the problem.
(c) If we terminate a paid plan other than for your breach, we will refund the unused portion of any period you have paid for.
(d) On termination your right to use the Service ends. We will keep your data available for export for 30 days after termination, after which it may be deleted. Keep your own copies of anything you need.
(e) Sections 5(b), 9, 10, 11, 12, 13, 15 and 16 survive termination.
15. Changes to these Terms
We may modify these Terms. Where changes are material, we will give notice by email or in the Service at least 30 days before they take effect. Continued use after the effective date is acceptance. If you do not accept the revised Terms, stop using the Service and, if you hold a paid plan, cancel — we will refund the unused portion of your current period.
16. Governing law and disputes
These Terms are governed by the laws of India. The courts of Mumbai, India have exclusive jurisdiction, subject to (b) and (c) below.
(a) Talk to us first. Before starting proceedings, contact legal@abhidu.com and give us 30 days to try to resolve the matter.
(b) Grievances. Indian users may contact our Grievance Officer at nodal@abhidu.com. We will acknowledge and respond within the time required by applicable law, and in any case within 90 days.
(c) Consumers. If you are a consumer, nothing here removes your right to bring proceedings in the courts of your own country where the law gives you that right, or to rely on mandatory consumer protections that apply where you live.
17. General
Entire agreement. These Terms, the Privacy Policy and the Acceptable Use Policy are the whole agreement between us about the Service.
Severability. If a provision is unenforceable, the rest stands.
No waiver. Not enforcing something once does not waive it.
Assignment. You may not assign these Terms. We may, including on a merger, acquisition or sale of assets.
Force majeure. We are not liable for failures caused by events beyond our reasonable control.
